Please read these Terms carefully before subscribing. Sections 11 and 12 contain important information about subscription, auto-renewal, billing, and cancellation which you should review before purchase.


1. Introduction
These Terms govern access to and use of Clinical Audit Compass (“the Service”). By creating an account, subscribing to a paid plan, or accessing any part of the Service, you agree to comply with these Terms. These Terms apply to all users including clinicians, students, and authorised pilot testers.


2. Definitions
•    “Service” refers to the Clinical Audit Compass mobile and web platform.
•    “User” refers to any individual accessing the platform.
•    “Content” means clinical logs, reflections, images (non-confidential), CPD entries, and audit notes submitted by Users.
•    “Company” refers to Clinical Audit Compass Ltd.
•    “Subscription” refers to a paid plan purchased through Apple In-App Purchase, Google Play Billing, or Stripe that provides access to the Service for a defined period.


3. Eligibility
Users must be registered healthcare professionals, students in regulated programmes, or authorised testers. Users are responsible for ensuring their use complies with HCPC, NMC, GMC, GDC, GPhC, GOC, GOsC, GCC, AHCS, and institutional standards. The Service is not intended for users under 18.


4. Description of Service
Clinical Audit Compass provides tools for clinical logging, reflective practice, CPD recording, anonymised image attachment, audit cycle support, and governance-aligned portfolio export. The Service is not designed to store patient-identifiable data and must not be used as a clinical decision support system or as a medical device.
To support the prohibition on patient-identifiable data, the platform requires the User to confirm, before each clinical log is submitted, that the entry contains no patient-identifiable information. An optional Enhanced Anonymisation feature is also provided to further reduce contextual detail on export for sensitive cases.


5. User Account Responsibilities
Users must provide accurate information, maintain confidentiality of their credentials, and take reasonable steps to secure their login. The User is responsible for all activity under their account. The Company reserves the right to suspend accounts where misuse or breach is suspected.


6. Acceptable Use Policy
Users agree to use the Service professionally and ethically. The following are strictly prohibited:
•    Uploading patient-identifiable information.
•    Sharing login credentials.
•    Attempting to reverse engineer, decompile, or copy the platform.
•    Interfering with platform security or functionality.
•    Uploading harmful, fraudulent, or unlawful content.
•    Misrepresenting professional status or qualifications.


7. Prohibited Conduct
Users must not:
•    Circumvent security features.
•    Access or attempt to access accounts belonging to others.
•    Introduce malware, scripts, or automated tools.
•    Use the Service for academic assessment fraud or falsification of professional development records.


8. Intellectual Property
All platform infrastructure, code, user interface, workflows, branding, and system architecture are the intellectual property of Clinical Audit Compass Ltd. The Clinical Audit Compass name and logo are registered trademarks (UK00004313891). Users retain ownership of their own uploaded text, reflections, and permitted images, but grant the Company a licence to store and process such content for the purpose of delivering the Service.


9. Platform Availability & Maintenance
The Company strives to maintain platform uptime but makes no guarantees regarding uninterrupted access. Maintenance, updates, and unexpected outages may occur. Firebase analytics and dedicated UK server hosting may experience temporary service interruptions beyond the Company’s control.


10. Third-Party Services
The platform integrates with a dedicated UK-based server (hosting), Firebase (analytics and crash reporting), and Stripe, Apple, and Google (payment processing). Use of the Service constitutes acceptance of these third-party terms. The Company maintains GDPR-compliant Data Processing Agreements with all processors.


11. Subscriptions, Billing and Auto-Renewal
11.1 Available Subscription Plans
Clinical Audit Compass offers the following subscription plans for individual users:
•    Monthly Plan: £4.99 per month. The subscription period is one (1) month, renewing on the same calendar date each month.
•    Annual Plan: £44.99 per year. The subscription period is twelve (12) months, renewing on the same calendar date each year.
Prices are shown in GBP (£) and include any applicable taxes unless stated otherwise. Prices displayed within the Apple App Store or Google Play Store at the time of purchase are the authoritative prices for that transaction.
11.2 Payment and Confirmation of Purchase
Payment is collected at the time of purchase via Apple In-App Purchase (iOS), Google Play Billing (Android), or Stripe (web). No card details are stored by Clinical Audit Compass Ltd. Payment is processed by the relevant payment provider and is subject to their terms.
11.3 Auto-Renewal
Subscriptions automatically renew at the end of each subscription period unless cancelled by the User. Auto-renewal applies as follows:
•    Monthly subscriptions automatically renew every one (1) month.
•    Annual subscriptions automatically renew every twelve (12) months.
Users will be charged the then-current subscription price at the start of each renewal period, using the payment method on file with Apple, Google, or Stripe. The User authorises these recurring payments by subscribing.
To avoid being charged for the next renewal period, Users must cancel their subscription at least twenty-four (24) hours before the end of the current subscription period. Cancellations made within the final twenty-four (24) hours of the current period may not take effect until the following renewal date.
11.4 Free Trials and Promotional Offers
Clinical Audit Compass may offer free trial periods or promotional introductory pricing. Where applicable, the duration of the free trial, pricing after the trial, and cancellation requirements will be clearly displayed at the point of purchase.
11.5 Price Changes
The Company reserves the right to change subscription prices. Any price change will be notified to Users at least thirty (30) days in advance by email or in-app notification, and will only apply to renewal periods beginning after the notice period has expired. Continued use of the Service after a price change takes effect constitutes acceptance of the new price. Users who do not accept a price change may cancel before the next renewal.
11.6 Failure to Pay
If a renewal payment fails, access to paid features may be suspended until payment is successfully processed. The Company or the relevant payment provider may attempt to process the payment again in accordance with the provider’s retry policies. Continued failure to pay may result in termination of the subscription and loss of access to paid features. Clinical data already entered by the User remains retained in accordance with Section 15 and the Privacy Policy.


12. Cancellation, Refunds and Termination by User
12.1 How to Cancel
Users may cancel their subscription at any time. The cancellation process depends on how the subscription was purchased:
Subscriptions purchased through Apple (iOS) — manage and cancel via Settings → [your name] → Subscriptions on your iPhone or iPad, or through the App Store app. Clinical Audit Compass Ltd cannot cancel or refund Apple-managed subscriptions.
Subscriptions purchased through Google (Android) — manage and cancel via the Google Play Store app → Menu → Payments & subscriptions → Subscriptions. Clinical Audit Compass Ltd cannot cancel or refund Google-managed subscriptions.
Subscriptions purchased through Stripe (web) — manage and cancel by contacting privacy@clinicalauditcompass.co.uk or through the account management area of the website where available.
12.2 What Happens When You Cancel
When a subscription is cancelled, paid access continues until the end of the current billing period. The subscription will not renew at the end of that period, and no further charges will be made. No partial refunds are provided for unused portions of the current period, except where required by law.
12.3 Refunds
Refunds are only issued where required by UK consumer legislation (including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 where applicable) or where a proven billing error has occurred. App-store-managed subscription refunds are governed by Apple’s or Google’s refund policies respectively; Users should request such refunds directly via the platform of purchase. Stripe-processed refund requests may be directed to privacy@clinicalauditcompass.co.uk.
12.4 Account Closure and Data Export
Users may close their account at any time by contacting privacy@clinicalauditcompass.co.uk. Users are entitled to request an export of their personal data prior to closure in accordance with the Privacy Policy.


13. Limitation of Liability
The Service is provided “as is” and “as available.” Clinical Audit Compass Ltd is not liable for:
•    Loss of data or corruption of logs.
•    System outages or downtime.
•    Errors arising from third-party processors (hosting provider, Firebase, Stripe, Apple, Google).
•    Indirect, incidental, or consequential damages.
•    Professional decisions made based on entries recorded within the platform.
Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by UK law.


14. Indemnity
Users agree to indemnify and hold Clinical Audit Compass Ltd harmless from any claims, damages, liabilities, or expenses arising from:
•    Misuse of the platform.
•    Breach of these Terms.
•    Violation of professional or regulatory obligations.
•    Unlawful or unethical conduct while using the Service.


15. Termination of Service by the Company
The Company may suspend or terminate accounts for breach of these Terms, misuse, illegal activity, security concerns, or failure to pay. Upon termination, user data is deleted or anonymised in line with the retention policy described in the Privacy Policy. Users may request export of their data prior to closure where practicable.


16. Changes to These Terms
The Company may update these Terms periodically to reflect changes in regulation, platform functionality, or commercial structure. Material updates (including changes to subscription terms, pricing, auto-renewal, or cancellation) will be notified to Users by email or in-app notification at least thirty (30) days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. Users who do not accept an update may cancel their subscription in accordance with Section 12.


17. Governing Law & Jurisdiction
These Terms are governed by the laws of Scotland and the wider United Kingdom. Disputes shall be handled through the Scottish courts unless otherwise required by consumer protection law.
